PivotFind reserves the right to take appropriate legal action against any user who violates the Permitted Use clause, including without limitation, removing the offending communication from the Site, suspending or terminating the violator’s access to the Site, and reporting the violator to law enforcement authorities.

PivotFind may modify this Permitted Use clause at any time without prior notice. By continuing to access or use the site after such modifications, you agree to be bound by the revised Permitted Use clause.

• Overburdening Resources: Engaging in any activity that imposes an unreasonable or disproportionately large load on the site’s infrastructure.
• Circumvention of Restrictions: Bypassing or attempting to bypass any measures PivotFind may use to prevent or restrict access to the site or parts of the site.

c.3. Reporting Violations

You acknowledge and agree that PivotFind has offered its products and services, set its prices, and entered into this Agreement in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and PivotFind, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and PivotFind. PivotFind would not be able to provide the services to you on an economically reasonable basis without these limitations.

6.5. User Responsibility

You specifically acknowledge that PivotFind shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

6.6. Material and Content

PivotFind does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the PivotFind service or any hyperlinked website or service, and PivotFind will not be a party to or in any way monitor any transaction between you and third-party providers of products or services.

Further, PivotFind assumes no responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material. PivotFind assumes no responsibility for any harm resulting from downloading or accessing any information or material on the Internet using the search results from our services.

6.8. Modification and Applicability

This Limitation of Liability Clause is effective unless and until modified by PivotFind. Amendments to this clause will be effective upon posting on the Site or as otherwise provided by applicable law. Your continued use of the Site and/or Services following the posting of any changes to this clause constitutes acceptance of those changes.

7. Governing Law

7.1. Governing Law

This Agreement and any action related thereto shall be governed by and construed by the substantive laws of Switzerland, without regard to its principles of conflicts of law. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

7.2. Jurisdiction

Any dispute, controversy, or claim arising out of or about this Agreement, including the validity, invalidity, breach, or termination thereof, shall be resolved in the first instance through amicable negotiation between the parties within thirty (30) days from the date of notification of such dispute by one party to the other.

If the parties are unable to resolve the dispute amicably within the aforementioned timeframe, the dispute shall be submitted to and finally resolved by the exclusive jurisdiction of the courts of  Switzerland. The parties agree to submit to the personal jurisdiction of these courts and waive any objections to the venue in such courts based on inconvenient forums or any other basis.

7.3. Legal Proceedings

The parties agree that any legal proceedings against PivotFind arising out of or related to the use of the website or services shall be initiated and conducted exclusively in the courts of Switzerland. Users of the website agree to resolve any disputes with PivotFind on an individual basis and shall not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

7.4. Equitable Relief

Notwithstanding the foregoing, nothing in this Agreement shall prevent PivotFind from seeking injunctive or other equitable relief from the courts of  Switzerland, to prevent or restrict the unauthorized use of proprietary materials, infringement of intellectual property rights, or breach of the confidentiality obligations hereunder.

7.5. Legal Fees

In the event of litigation relating to this Agreement, the prevailing party shall have the right to collect from the other party its reasonable legal fees and costs incurred in enforcing any right under this Agreement, in addition to any other relief to which the prevailing party may be entitled.

7.6. Modification of the Clause

PivotFind reserves the right to modify this Governing Law and Jurisdiction Clause at any time, without giving prior notice, under the procedure outlined in the Terms of Use for amendments and modifications.

8. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes by posting the new Terms on the Site.
